How it works

  1. Step 1

    Send your details

The name you want, who the directors and shareholders are (or the LLP's members), a passport copy and proof of address for each, and a short description of the business.

  2. Step 2

Verify your identity with Companies House

Each director, or for an LLP each member, verifies their identity and gets a Companies House personal code, which goes into the application. Anyone else with significant control can do it up to 14 days after registration.

  3. Step 3

    We register the company

We file with Companies House, with the registered office address we provide. The Ltd or LLP is registered within 1–2 business days of us receiving the documents.

  4. Step 4

    We register it with HMRC

For corporation tax if it is a Ltd, or for Self Assessment if it is an LLP.

  5. Step 5

We help open the bank account

We help you apply for the company's bank account. The bank makes the decision.

Good to know

  • Where you run it from. The company is UK tax resident because it is incorporated in the UK. Run it from the country where you live and that country may treat it as resident too, and tax its profit. It is the first thing to check.
  • VAT can start at the first sale. The £90,000 VAT threshold is for businesses established in the UK. HMRC does not count a registered office alone as an establishment, so a company run from abroad may have to register from its first taxable sale in the UK.
  • An LLP needs 2 members. A member can be a person or a company, so a founder on their own can be 1 member and hold the other place through a company they own.
  • The bank decides. We help with the application, but the bank decides whether to open the account. No approval is guaranteed.

FAQ

Can I set up a UK company if I don't live in the UK?

Yes. Directors, shareholders and LLP members can live anywhere. The company needs a registered office in the UK, which we provide, and each director verifies their identity with Companies House. You don't need to travel or use a notary.

How long does it take to register a UK company?

1–2 business days from when we receive the documents. Every director, or for an LLP every member, has to verify their identity with Companies House first, because the application includes their personal code.

Does a UK company need a UK director?

No. A Ltd needs at least 1 director who is a person rather than a company, and none of its directors has to live in the UK. The same person can be the only director and the only shareholder.

What is the minimum share capital for a UK company?

There is no minimum. A Ltd can be registered with a single share of £1, and nothing has to be paid into a bank before registration. An LLP has no shares at all.

What is the corporation tax rate in the UK?

19% on profit up to £50,000 and 25% on profit over £250,000. In between, marginal relief takes the rate gradually from 19% up to 25%. The 2 limits are reduced for an accounting period shorter than 12 months, and divided among companies under the same control, including companies outside the UK. These rates have applied since April 2023.

Does a UK LLP pay tax?

Not corporation tax. For UK tax the LLP is transparent: each member is taxed on their share of the profit as it is made, whether or not they take it out. A member who lives outside the UK pays UK tax only on profit from business carried on in the UK, and what counts is where the business is actually carried on, not where the LLP is registered. The country where they live decides the rest.

Does the UK tax dividends paid to shareholders abroad?

The UK does not withhold tax on dividends, so the company pays them out in full. What you pay on them depends on the country where you live.

Will the country where I live tax my UK company?

It can. The company is UK tax resident because it is incorporated in the UK, but many countries treat a company as resident where it is managed. If you run it from home, your country may tax its profit too. Where both countries claim it, the tax treaty between them, if there is one, has rules for deciding.

Does a UK company have to register for VAT?

A business established in the UK has to register once its taxable sales over the last 12 months pass £90,000, and can register earlier by choice. HMRC does not treat a registered office alone as an establishment, so a company run from abroad may have to register from its first taxable sale in the UK. The standard rate is 20%.

What does a UK company have to file every year?

A Ltd files a confirmation statement and annual accounts at Companies House, and a corporation tax return with HMRC. Most companies pay corporation tax 9 months and 1 day after the end of their accounting period, and file the return within 12 months. An LLP files the same 2 documents at Companies House and a partnership return with HMRC; its members may have to file their own returns too.

Should I choose a Ltd or an LLP?

A Ltd pays corporation tax, and you decide when to take profit out as dividends. An LLP pays no tax itself, and its members are taxed on the profit as it is made. An LLP also needs 2 members. Which is better for you depends mostly on the country you live in and how it taxes each.

Is the UK company register public?

Yes. Anyone can search Companies House and see the directors, shareholders or LLP members, the people with significant control, and the accounts. Home addresses stay off the public record: the register shows a service address, which can be the registered office.

Why the UK

A UK company can be registered in 1–2 business days, can start with £1 of share capital, and its directors and shareholders can live anywhere. The register at Companies House is public, so a client, a supplier or a bank can check that the company exists and who runs it.

The UK does not withhold tax on the dividends a company pays out, and most of the dividends a UK company receives from abroad are exempt.

Which fits depends mostly on where you live: how your country taxes dividends from a UK company, and whether it treats an LLP as transparent the way the UK does.
