Good to know

  • The yearly fee. From year 2, $399 a year keeps the registered agent and the Wyoming address in place.
  • Banking. The Wyoming address is for the state and the company's mail. Banks and payment processors look harder at addresses like it — for banking, use our non-CMRA US address in Florida.
  • No ITIN. You still get the EIN; it takes 1–3 weeks instead of days. We can also get you an ITIN, as a separate service.

FAQ

Do I need to be in the US?

No. You send the details and a passport copy, we do the filings, and every document comes back to you digitally.

Why Wyoming and not Delaware?

Wyoming is cheaper to form and to keep, has no state income tax and no franchise tax, and does not put the owners' names on the public record. Delaware is worth it when there is a real prospect of outside investment or a sale, because investors and their lawyers already know its law.

Why does the EIN take longer without an ITIN?

With an ITIN or a US social security number, the EIN application goes through online and the number comes back almost at once. Without one, the IRS processes the application by hand, which takes 1–3 weeks.

Can you get me an ITIN?

Yes, as a separate service for $348. With an ITIN, the EIN application goes online and comes back in 1–3 business days.

Does Wyoming publish the owners' names?

No. The public record shows the company, its registered agent and its address — not the owners.

Does the company pay tax in the US?

Wyoming has no state income tax. At federal level, a single-owner LLC pays no tax of its own if you are not American, you do not live in the US and the business is not carried on inside it. Where you live decides the rest.

Why Wyoming

Wyoming wrote the first LLC law in the United States, in 1977. For a founder who is not American, it is the state we use in most cases.

State income tax
None
Franchise tax
None
Owners on the public record
No
Cost to form and keep
Lower than Delaware

Tax. Wyoming taxes neither the company's profit nor yours, and it has no franchise tax.

Privacy. The owners' names do not go on the public filing — the record shows the company, its registered agent and its address.

Asset protection. A creditor of an owner is generally limited to a charging order — a claim on what the company pays out, not on the company itself — and Wyoming applies that to single-owner LLCs as well.

Delaware instead? Worth it when outside investors or a sale are a real prospect, because their lawyers already know its law. Otherwise it is the same company for more money.

What the company means for your own taxes depends on where you live.
